1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and AcidBase Technologies FZCO (“AcidBase,” “we,” “us,” or “our”) governing your access to and use of our website, applications, AI services, APIs, embedded integrations, and all features offered on acidbase.io or through our affiliated domains (collectively, the “Platform”). By creating an account, interacting with any of our systems, or utilizing our services, you agree to these Terms in full. If you do not agree, you may not access or use any part of the Platform.

The Platform is a cutting-edge generative AI ecosystem enabling the creation and deployment of AI-powered digital personas. Our services are intended for individuals and organizations seeking to simulate human-like conversational behavior through licensed data and AI modeling.

2. Service Overview

AcidBase enables users to create, manage, and deploy advanced AI Clones—digitally simulated personas trained on data that is either publicly accessible or expressly authorized by the user. These Clones are capable of interacting autonomously with audiences, responding to inquiries, and delivering content in real-time across messaging platforms, websites, or internal tools.

The Platform uses technologies such as neural language models, real-time inference engines, memory retention systems, fine-tuned LLM pipelines, and third-party API integrations (including but not limited to Meta’s Instagram Graph API, TikTok Developer Tools, and YouTube Data API). Clones may be designed for various purposes including influencer engagement, professional legacy building, commercial brand interaction, or private coaching systems.

3. Eligibility and User Accounts

In order to access or use AcidBase, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction;

  • Possess the legal capacity and authority to enter into binding contracts;

  • Register with accurate, current, and complete information and maintain it accordingly;

  • Be the legal owner or licensed user of any data, identity, or intellectual property used to train your AI Clone.

We may suspend, modify, or terminate your account if we reasonably believe any information is inaccurate, misleading, or violates applicable law. We reserve the right to request identity verification, additional documentation, or proof of consent regarding the use of third-party data.

4. Data Authorization and Content Rights

When you integrate a social media profile, upload files, or link third-party services, you authorize us to:

  • Access, analyze, and store that content for the sole purpose of training and deploying your AI Clone;

  • Replicate your tone, structure, voice, and messaging style in the Clone output;

  • Use anonymized and aggregated data for internal AI model improvement and analytics.

You remain the full intellectual property owner of your submitted data and the Clone outputs unless a separate license agreement is signed. You are solely responsible for ensuring that you have all necessary rights to the content you provide. AcidBase will not be held liable for content that is unlawfully submitted or used without consent.

5. User Conduct

As a condition of use, you agree that you will not:

  • Upload or train AI Clones on defamatory, obscene, illegal, or exploitative content;

  • Create Clones that impersonate other individuals without explicit authorization;

  • Abuse the platform by circumventing usage limits, exploiting vulnerabilities, or reverse-engineering our software;

  • Use AcidBase Clones to harass, intimidate, or manipulate others in any digital or offline environment;

  • Interfere with the normal operation of the Platform or any user’s experience.

Violation of these rules may result in immediate account termination, legal reporting, and liability for any resulting harm.

6. AI Output Limitations

All AI-generated content should be reviewed before being deployed publicly. While AcidBase utilizes state-of-the-art machine learning, AI outputs may reflect biases, errors, or unintended consequences due to the probabilistic nature of large language models.

We do not warrant the factual accuracy, legal compliance, or safety of any AI-generated material. You are solely responsible for monitoring and controlling your Clone’s behavior, particularly in sensitive or regulated environments.

7. API Integration and Compliance

AcidBase offers seamless API integrations with third-party platforms including Meta, YouTube, WhatsApp, TikTok, and others. By activating these integrations, you confirm that:

  • You are in compliance with each provider’s Developer Terms and API usage rules;

  • You authorize AcidBase to perform API calls on your behalf strictly within the approved scope of access;

  • You understand that revoking token access or changing API settings may affect Clone functionality.

You must comply at all times with Meta’s Platform Terms (Platform Terms - Meta for Developersdevelopers.facebook.com/terms) and any applicable laws governing the data accessed or processed through the API connections.

8. Account Suspension or Termination

You may close your AcidBase account at any time by emailing us at legal@acidbase.ai or using the dashboard controls. Upon closure, all active Clones will be deactivated and scheduled for deletion or anonymization per our Privacy Policy.

We reserve the right to suspend or permanently disable your account with or without notice if:

  • You breach these Terms or other AcidBase policies;

  • We detect abusive or unlawful activity originating from your Clone;

  • We are ordered to act by law enforcement or regulatory authority;

  • Your actions pose a reputational, technical, or legal threat to AcidBase or other users.

9. Intellectual Property

All proprietary technology, algorithms, brand assets, source code, product designs, and written content produced by AcidBase remain the exclusive intellectual property of AcidBase Technologies FZCO or its licensors.

You retain all rights over original content submitted and generated through your AI Clone, unless such content is explicitly shared publicly or assigned under a licensing agreement.

Clones may not be sublicensed, resold, or integrated into other commercial tools without prior written consent. Unauthorized reproduction, redistribution, or commercial exploitation is strictly prohibited.

10. Disclaimers and Limitations of Liability

  • Fitness for a particular purpose or accuracy of outputs;

  • Continuity, reliability, or availability of service;

  • Legal compliance or safety of AI Clone behavior in edge cases.

To the fullest extent permitted by law:

  • AcidBase shall not be liable for indirect, incidental, punitive, or consequential damages;

  • We are not responsible for business interruption, data loss, emotional distress, reputational harm, or misrepresentation caused by Clone behavior;

  • You agree to indemnify AcidBase from claims arising from misuse of the AI Clones or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed and interpreted under the laws of the United Arab Emirates. Jurisdiction for all disputes rests with the Dubai International Financial Centre (DIFC) courts, unless otherwise specified in a separate arbitration agreement.

Any claims arising from these Terms must be brought within one (1) year of the event. We reserve the right to seek injunctive or equitable relief in cases of breach or misuse.

12. Amendments and Notifications

We may revise these Terms periodically to reflect platform changes, feature updates, legal compliance, or business needs. You will be notified of material changes via your registered email address or dashboard notification.

Your continued use of AcidBase services after the effective date of an update constitutes your acceptance. We encourage users to review this document regularly.
